1. Grant of License
Subject to the terms and conditions of this End User License Agreement ("EULA"), RutaRoo grants you a limited, non-exclusive, non-transferable, revocable license to install and use the RutaRoo software application ("Software") on your personal computer or device for your personal, non-commercial use.
2. Restrictions
You may NOT:
- Copy, modify, adapt, alter, translate, or create derivative works of the Software
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software
- Remove, alter, or obscure any proprietary notices, labels, or marks on the Software
- Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Software
- Use the Software for any commercial purpose without express written permission
- Use the Software in any way that violates any applicable law or regulation
3. Intellectual Property Rights
The Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The Software is licensed, not sold. RutaRoo retains all right, title, and interest in and to the Software, including all copyrights, patents, trade secrets, trademarks, and other intellectual property rights.
4. Updates and Modifications
RutaRoo may provide updates, upgrades, or modifications to the Software. These updates may be provided automatically or require manual installation. This EULA applies to all updates and modifications unless accompanied by a separate license agreement.
5. Termination
This license is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software and destroy all copies of the Software in your possession.
6. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. RUTAROO DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE UNINTERRUPTED, BE ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RUTAROO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OR INABILITY TO USE THE SOFTWARE.
8. Export Restrictions
You may not use or otherwise export or re-export the Software except as authorized by applicable law. You represent and warrant that you are not located in any country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
9. Governing Law
This EULA shall be governed by and construed in accordance with the laws applicable in the jurisdiction where RutaRoo operates, without regard to its conflict of law provisions. Any disputes arising under this EULA shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
10. Entire Agreement
This EULA constitutes the entire agreement between you and RutaRoo regarding the Software and supersedes all prior or contemporaneous understandings and agreements, whether written or oral, regarding the Software.
